Ранее о том, что регулятор готовит иск против Ripple, рассказал генеральный директор компании Брэд Гарлингхаус (Brad Garlinghouse). SEC подала в суд против Ripple, Гарлингхауса и сооснователя компании Криса Ларсена (Chris Larsen). Согласно заявлению Комиссии, руководство компании обвиняется в продаже цифровых активов под названием XRP, которые являются незарегистрированными ценными бумагами, в 2013 году. Кроме того, актив использовался для получения другой прибыли, в том числе оплаты труда и услуг маркетмейкеров.
🔺«Помимо продажи XRP для финансирования бизнеса компании, Ларсен и Гарлингхаус осуществили личные продажи актива на сумму $600 млн. Они не зарегистрировали предложения и продажи, а также не подали заявки на освобождение от регистрации, чем нарушили федеральный закон о ценных бумагах», – отмечается в документе.
✅Юристы SEC обвиняют руководство компании в том, что отсутствие регистрации XRP как ценной бумаги лишило розничных инвесторов достаточной и адекватной информации об активе и бизнесе Ripple. Также они лишились защиты, предоставляемой регулятором при зарегистрированной продаже ценных бумаг. В документе отмечается, что руководство Ripple еще в 2012 году получало извещения от юридической фирмы о том, что XRP может рассматриваться как инвестиционный контракт, а значит актив должен быть зарегистрирован в качестве ценной бумаги.

Earlier, the CEO of the company Brad Garlinghouse said that the regulator was preparing a lawsuit against Ripple. The SEC is suing Ripple, Garlinghouse and co-founder Chris Larsen. According to the Commission's statement, the company's management is accused of selling digital assets called XRP, which are unregistered securities, in 2013. In addition, the asset was used to generate other income, including wages and market maker services.

The document notes that back in 2012, Ripple's management received notifications from a law firm that XRP could be considered an investment contract, which means the asset must be registered as a security.
